1. Definitions

In these Terms & Conditions:

  • “Consumer”: a natural person not acting in the course of a profession or business.

  • “Business customer”: a customer acting in the course of a profession or business.

  • “Customer”: any Consumer or Business customer placing an order.

  • “Products”: all goods offered for sale on the Website, including perfumes and related items.

  • “Agreement”: any distance contract concluded between Soma 23 VOF and the Customer via the Website.

2. Applicability

  1. These Terms & Conditions apply to every offer on the Website and to every Agreement concluded between Soma 23 VOF and the Customer.

  2. Before the Agreement is concluded, the text of these Terms & Conditions is made available to the Customer. The Customer must accept them during checkout.

  3. If any provision of these Terms & Conditions is or becomes invalid, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision that comes closest to the original intent.

  4. For Business customers, separate conditions may apply; where these Terms differ between Consumers and Business customers, this is stated explicitly.

3. Offer and product information

  1. The Products shown on the Website form a non-binding offer. An Agreement is only concluded after the order has been confirmed by us via email.

  2. We strive to display Products and colours as accurately as possible. However, actual colours may differ slightly due to screen settings. Such minor differences do not constitute a defect.

  3. Obvious mistakes or errors in prices or descriptions (for example a clearly incorrect price) do not bind us. If this occurs, we will inform you as soon as possible and you may cancel the order free of charge.

4. Prices and payment

  1. All prices on the Website are in euro (EUR) and include Dutch VAT, unless explicitly stated otherwise.

  2. Shipping costs, if applicable, are shown separately during the order process before you complete the purchase.

  3. We may change prices at any time, but changes will not affect orders already placed and confirmed.

  4. Payments are processed securely via Squarespace Payments and its payment partners. Available methods may include credit/debit cards, Apple Pay, Google Pay, Klarna, iDEAL and other local payment methods as shown at checkout.

  5. The Customer must pay the full purchase amount during checkout. We only dispatch the order after payment is successfully completed.

5. Ordering process and conclusion of the Agreement

  1. The Customer can select Products, place them in the shopping cart, check the order details (including prices and shipping costs), and complete the order via the checkout page.

  2. Before placing the order, the Customer can check and correct entered data.

  3. By clicking the final “order” or “pay now” button, the Customer makes a binding offer to purchase the Products in the cart under these Terms & Conditions.

  4. After receiving the order, we send a confirmation email. The Agreement is concluded when we send this confirmation.

6. Delivery

  1. We ship orders from our fulfilment partner RTM Fulfilment using carriers such as DHL, Bpost, DPD or other logistics partners.

  2. We deliver to the countries indicated on our Website and/or during checkout.

  3. Unless otherwise agreed, we aim to dispatch orders within the time frames indicated on the Website. If delivery is delayed or an order cannot be fulfilled, we will inform you as soon as possible.

  4. If delivery cannot take place within 30 days after the order, the Consumer may cancel the Agreement and we will refund all amounts paid. (ondernemersplein.overheid.nl)

  5. The risk of loss or damage to Products passes to the Consumer when the Products are delivered to the Consumer or a person appointed by the Consumer (other than the carrier). If the Consumer chooses their own carrier (not offered by us), the risk passes at the moment we hand over the Products to that carrier. (ondernemersplein.overheid.nl)

7. Right of withdrawal for Consumers (14-day cooling-off period)

7.1 General

  1. If you are a Consumer, you have the right to withdraw from the Agreement without giving any reason within 14 days after you (or a third party designated by you, other than the carrier) have received the Product. (ictrecht.nl)

  2. If your order contains multiple Products that are delivered separately, the 14-day period starts when you receive the last Product.

  3. To exercise the right of withdrawal, you must inform us within the 14-day period by email or any other clear statement:

You may, but are not required to, use a standard withdrawal form.

  1. After notifying us, you must send the Product(s) back within 14 days. (ictrecht.nl)

7.2 Condition of returned Products

  1. During the cooling-off period you may handle the Product to determine its nature, characteristics and functioning, in the same way you would be allowed in a physical store.

  2. You are liable for any decrease in value of the Product if you have used it more than is necessary to determine its nature, characteristics and functioning. We may deduct this decrease in value from the refund. (Thuiswinkel.org)

7.3 Exceptions for sealed perfume and hygiene products

  1. For reasons of health protection and hygiene, certain Products cannot be returned once their seal or hygienic packaging has been broken after delivery. This can include opened perfumes and other cosmetic products that come into direct contact with the body. (business.trustedshops.nl)

  2. For such Products, the right of withdrawal only applies as long as the original seal or wrapping is intact. Once you break the seal or open the bottle, the Product is no longer suitable to be returned for hygiene reasons and the right of withdrawal may no longer apply.

  3. Where the law requires it, your statutory rights under the applicable consumer protection rules remain unaffected.

7.4 Return costs and refund

  1. Unless otherwise stated on our Website, the direct costs of returning the Products are for your own account. (ConsuWijzer)

  2. We will refund all payments received from you for the returned Products, including the standard delivery costs for the original shipment (if the full order is returned), within 14 days after we have been informed of your decision to withdraw. We may wait with refunding until we have received the Products back or you have provided proof that they have been sent back, whichever comes first. (ictrecht.nl)

  3. If you only return part of your order, we are not obliged to refund the original shipping costs. (ConsuWijzer)

  4. The refund will be made using the same payment method you used for the original transaction, unless we agree otherwise.

8. Returns procedure

  1. To make returns as smooth as possible, please first contact us at Admin@soma-23.com with your order number and the Product(s) you wish to return. We will then provide return instructions and the correct return address.

  2. You must pack the Products carefully so they arrive undamaged. We recommend using track & trace shipping; you are responsible for the return shipment until we have received it, unless we have arranged collection. (ConsuWijzer)

9. Warranty and conformity

  1. For Consumers, the statutory legal warranty applies: a Product must meet what you as a Consumer may reasonably expect from it. If a Product is defective or does not perform as reasonably expected, you are entitled to repair, replacement, or (partial) refund in accordance with the law. (ondernemersplein.overheid.nl)

  2. Damage caused by misuse, improper storage, normal wear and tear, or use contrary to our instructions does not fall under warranty.

  3. If you believe a Product is defective, contact us as soon as possible with a description of the problem and your order number.

10. Complaints procedure

  1. If you have a complaint about our Products or services, please email Admin@soma-23.com with a clear description of your complaint, your name and order number.

  2. We aim to respond to your complaint within 5 working days after receipt.

  3. If we cannot resolve the complaint together, you may have the right to submit the dispute to a competent court or a recognised dispute resolution body, in accordance with Dutch law and EU rules. (ondernemersplein.overheid.nl)

11. Liability

  1. Our liability is limited to what is permitted under mandatory law.

  2. We are not liable for indirect damage, including consequential loss, lost profits, missed savings or damage due to business interruption, except where such exclusion is not permitted by law.

  3. In any case, our total liability towards the Customer for damage arising from an Agreement is limited to the total amount paid by the Customer for the relevant order, except in cases of intent or deliberate recklessness on our part.

  4. Nothing in these Terms & Conditions limits or excludes our liability where it would be unlawful to do so (for example, liability for death or personal injury caused by our negligence).

12. Use of the Website

  1. You must not misuse the Website, attempt to gain unauthorised access to it, or introduce malicious or harmful software.

  2. We may temporarily suspend access to the Website for maintenance or updates. We will try to limit any downtime.

13. Business customers

  1. This article applies if you purchase as a Business customer.

  2. The statutory right of withdrawal for Consumers does not apply to Business customers.

  3. Any agreed returns or cancellations for Business customers are only possible with our prior written consent and under conditions we agree.

  4. For Business customers, our liability is, as far as legally permitted, limited to the net invoice amount of the relevant order.

14. Force majeure

  1. We are not obliged to fulfil any obligation if we are prevented from doing so due to force majeure, including but not limited to: war, natural disasters, pandemics, strikes, fire, government measures, power failures, failures of transport or telecommunications, or failures of third parties on which we rely.

  2. In case of force majeure lasting longer than 30 days, both you and we are entitled to dissolve the Agreement for the part that is affected, without any obligation to pay damages.

15. Personal data

We process personal data in accordance with our Privacy & Cookie Policy, which is available on our Website. That policy forms part of these Terms & Conditions.

16. Changes to these Terms & Conditions

  1. We may change these Terms & Conditions from time to time. The latest version is always available on our Website.

  2. The version of the Terms & Conditions that was in force at the time you placed your order applies to that order, unless the law requires otherwise.

17. Applicable law and disputes

  1. Dutch law applies to these Terms & Conditions and to any Agreement between you and Soma 23 VOF, without prejudice to any mandatory consumer protection rules that would apply under your local law.

  2. Any disputes arising out of or related to Agreements with Consumers may be brought before the competent court in the Netherlands or the court of the Consumer’s place of residence, as required by EU law.

  3. For Business customers, disputes will be submitted exclusively to the competent court in the district where Soma 23 VOF is established.
